Provider: HerdAble Inc., an Indiana corporation (“HerdAble”, “we”, “us”, “our”)

These Terms of Service (“Terms”) are a binding agreement between you and HerdAble governing your use of the HerdAble web application and mobile application (together, the “Application”,” and with all services offered through the same, the “Services”).
Within these Terms, “you”, “your”, or “User” refers to a user of the Services.
By creating an account, installing or accessing Application, or otherwise using the Services, or by clicking to accept or agree to the Terms when this option is made available to you, you accept and agree to be bound by and to abide by these Terms and to our Privacy Policy, incorporated herein by reference, and together with these Terms, the “Policy”. If you don’t agree with the terms of our Policy, your choice is to not use the Services.
If you are accessing or using the Services on behalf of a farm, business, or other organization (each, an “Entity”), then the Entity is the “User” under this Policy. The individual who accepts and agrees to this Policy represents and warrants that the individual has the authority to bind that Entity to this Policy. The Entity as the User is responsible for ensuring that all individuals who access the Services under that Entity’s account are made aware of and comply with this Policy.
The Services are offered only to individuals aged 18 or older who are located in the United States.
1. The Services
HerdAble offers a record-keeping and management Application. Information offered through the Services is not veterinary, medical, breeding, legal, tax, accounting, or financial advice. Features like health logs, FAMACHA tracking, withdrawal reminders, breeding predictions, bookkeeping summaries, and document generation are conveniences to help you organize information. You acknowledge that the Services and all features therein are not intended to serve as a substitute for licensed or otherwise qualified professionals. You’re responsible for your own animal care, business, and compliance decisions, including determining when to consult with a professional. Any reliance on the Services is at the User’s sole risk, and HerdAble expressly disclaims any and all liability arising from or related to any such reliance.
2. Accessing the Application
The Application is made available to Users through the Apple App Store, Google Play, or other third-party platforms or marketplaces (each a “Third-Party Platform”). You may be required to log in to your account on a Third-Party Platform to download the Application. Each Third-Party Platform may have its own terms and policies that you must agree to in order to download the Application.
Users are also required to make an account to access and use the Services (each, an “Account”). You must provide true, accurate, current, and complete information when creating your Account, and you agree to promptly update Account information in the event it changes. You are responsible for your Account credentials and for all activity under your Account. You must keep your password secure and tell us promptly at security@herdable.app if you suspect unauthorized access or use. You are responsible for the activity (including any breach of this Policy) by any party accessing the Services through your Account.
3. Marketplace, Community, and User content
The Services may let you list animals, publish a seller profile, message other Users, post in community boards/Q&A, comment, and leave reviews of other farms (“Community Content”) from time to time. When and if Community Content features are made available to Users, the following terms apply:

We are not a party to any transaction between Users. We don’t broker, sell, guarantee, inspect, or verify animals, buyers, sellers, prices, payments, health, registration, or any listing’s accuracy. Deals, payments, transport, and contracts are strictly between the Users involved, and Users are solely responsible for their own legal/tax compliance on any sale.

Verified badges. Some features may display badges designating a User as a “Verified Seller”, “Verified DVM” or other designation, on community posts, seller profiles, or listings. HerdAble will use reasonable efforts to verify documentation as to third-party certifications (for example, requesting a photo of a diploma or other certification record), but HerdAble does not and cannot guarantee that a User has any third-party certification they may claim to have. A verified badge is not a guarantee, endorsement, or warranty. Even where HerdAble has reviewed and granted a verified badge, we make no representation or warranty regarding any User’s qualifications, credentials, expertise, identity, licensing status, or the accuracy of any information they provide. You are solely responsible for independently verifying the credentials, qualifications, and trustworthiness of any User you interact with through the Services, including confirming that any professional (such as a veterinarian or breeder) holds the licenses, certifications, or registry memberships they claim. HerdAble disclaims all liability arising from your reliance on any verified badge or any User’s stated credentials.

When your seller profile is published, when you post animal listings, when you send messages to other Users, when you leave a review, and when you post comments, questions, and other content on User community boards, the content is shared with other Users (sometimes, the content is shared with all other Users, depending on the feature) — seller profiles (including any contact phone/email you choose to publish), listings, and their verified snapshots, and community posts, comments, and farm reviews you create are publicly visible to other Users of the Services; messages are visible to the User you send them to.

Community content + reviews must be your own honest, first-hand experience, respectful, and lawful. Harassment, false or defamatory statements, spam, and impersonation are strictly prohibited. You are solely responsible for any comments or reviews you share and their accuracy. We take no responsibility and assume no liability for any comments posted by you or any third party.

By posting, you represent and warrant that you have the required rights to the content you post, and you agree to keep your posts lawful, accurate, and non-infringing as to the rights of any third party, including copyright, trademark, privacy, personality or other personal or proprietary rights. Upon posting, you thereby grant a license to and direct HerdAble to display your Community Content within the Services.

We may, but have no obligation to, monitor, edit or remove content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms.
4. Billing and Payments
General. HerdAble offers the Services under multiple plans, including a free tier and paid subscription plans. The plans available to you, and the price of each, are shown in the Services before you subscribe or buy. Subscription pricing is subject to change; however, if you are an active subscriber at the time of a price increase, you will continue to pay your existing subscription rate for as long as your subscription remains active and uninterrupted. Price increases apply only to new subscriptions and to subscriptions that have lapsed and are later restarted. If you buy a subscription via a Third-Party Platform, the subscription will be billed through the applicable Third-Party Platform subject to the Third-Party Platform’s terms and conditions.
Free Trial. New users may be offered a free trial of the Pro plan for up to 30 days, with no payment method required. At the end of the trial period, your account will automatically convert to the free plan unless you subscribe to a paid plan. All records created during the trial will be retained on your account.
Species Unlock. HerdAble may offer a one-time “Species Unlock” purchase that grants your account the ability to keep records for all species supported by the Services, including species added in the future, for as long as your account exists. The Species Unlock is non-transferable except that it will transfer with your account in the event of a sale or transfer of the Entity that owns the account. The Species Unlock is permanently lost if your account is deleted. Subscribers to a plan that includes every supported species receive the Species Unlock benefit automatically with their first paid invoice for that plan, and keep it if that subscription later ends. Plans that cover a single species do not include the Species Unlock.
Payment Processors. If you complete a purchase directly with HerdAble, payments are processed on our behalf by Stripe, Inc. (our “Payment Processor”). HerdAble does not store your full card number. Your payment information is handled under Stripe’s own terms and privacy policy, which you should review.
Recurring Payments. If you agree to a recurring payment and save a payment method for future payments, you hereby consent to HerdAble charging that payment method without any further consent from you, pursuant to the terms of the recurring payment as presented to you (unless and until you terminate your use of the Services).
5. Refunds and Cancellation
Except as specifically set forth in this Section 5 (or except as otherwise required by the applicable Third-Party Platform’s policies or applicable law), payments are final and non-refundable regardless of whether a payment is made via a Third-Party Platform or directly with HerdAble.
Monthly Subscriptions. You may cancel a monthly subscription at any time. Cancellation takes effect at the end of the current paid billing period, and you will retain access to paid features until that date. No partial or pro-rated refunds are provided for unused portions of a monthly billing period.
Annual Subscriptions. You may cancel an annual subscription at any time. Cancellation takes effect at the end of the current annual billing period, and you will retain access to paid features until that date. No partial or pro-rated refunds are provided for unused portions of an annual billing period.
Species Unlock. The Species Unlock purchase is refundable within 14 days of purchase if you have not added any additional species to your account after the purchase. Once you add a species, the purchase is final and non-refundable.
Duplicate or Erroneous Charges. If you believe you have been charged in error or charged more than once for the same purchase, please contact us at support@herdable.app. We will review your request and issue a refund if appropriate.
How to Request a Refund. To request a refund or report a billing dispute, email support@herdable.app with your account email address and a description of the issue. Refund requests are processed within 10 business days.
6. Content Data; License
You own the content you upload to the services, including information regarding animals, records, photos, documents, and other content you put into HerdAble (“Your Content”). You grant us a worldwide, non-exclusive license to host, store, copy, transmit, display, and process Your Content as needed to operate and improve the Services for you (including syncing across your devices and generating documents you request). We may also create and use de-identified, aggregated data (which cannot identify you, your farm, or your animals) for analytics, benchmarks, insights, and AI features, provided, however, that to the extent any such de-identified, aggregated data is derived from Your Content related to animal or farm operational data and is used for cross-farm benchmarking programs (e.g., regional or breed-level benchmarks), such use is subject to the opt-in consent described in the Privacy Policy.
HerdAble owns any such de-identified and aggregated data and datasets, and can use the same for any lawful purpose we deem appropriate.
You’re responsible for Your Content being accurate, lawful, and yours to use, and you represent and warrant to HerdAble that you have the right to upload the same to the Services. We are not responsible for keeping your data safe and secure; you are responsible for keeping your own backups of anything important.
7. Use Restrictions
You agree not to, and not to allow a third party to:

copy, modify, translate, or create derivative works of the Services;

reverse engineer, decompile, or disassemble the app, or attempt to derive its source code, except to the limited extent applicable law expressly permits;

rent, lease, sell, sublicense, redistribute, or otherwise make the app or any build/installer (e.g., but not limited to, the Android Package Kit) available to any third party;

use the Services to build, train, or benchmark a competing product or service;

scrape, harvest, or bulk-export data from the Services except your own data through features we provide;

circumvent, disable, or interfere with security, tenancy, rate-limiting, or access controls, or access data that isn’t yours;

use the Services in a manner that damages, disables, overburdens, or impairs the Services, or interferes with another party’s use of the same, or for anything unlawful or in violation of these Terms.
8. Suspension and Termination
You may cancel a paid plan at any time from the Plan screen in the Services (which opens your billing portal) or by emailing support@herdable.app; see Section 5 for when cancellation takes effect and what is refundable. If you purchased a subscription through a Third-Party Platform such as the Apple App Store or Google Play, you must cancel it through that platform’s own subscription settings. Your records remain available to read and export on every plan, including after cancellation. To close your Account entirely, use the account-deletion option in the Services or email privacy@herdable.app. You agree that we may, without prior notice, suspend, terminate, or otherwise limit your access to the Services, for any or no reason, including if you violate these Terms or to protect the Services or other Users.
9. Third-Party Services
The Services may allow you to log in through third-party services, link to third-party websites, or access third-party content or services. Your use of any third-party service is subject to that third party’s terms and policies, and we are not responsible for any third-party services, content, or practices. Any links or integrations are provided for convenience only and do not imply endorsement.
10. Confidentiality
You agree not to share your account credentials with non-users of the Services. You also agree not to publicly share information about unreleased features, designs, or functionality of the Services without our prior written consent.
11. Feedback
We’d love your feedback. Any feedback, ideas, or suggestions you give us are provided freely, are non-confidential to us, and we may use such feedback to improve our products and services without any obligation, payment, or attribution to you. You hereby assign all interest in and rights to feedback to HerdAble and acknowledge that you are not entitled to any interest in or rights to any HerdAble products or services, including changes made therein because of your feedback. If you submit feedback through in-app feedback features, you may attach up to three images to your report; these images are stored under your account and will be deleted when your account is deleted.
12. Our Intellectual Property
As between HerdAble and you, HerdAble owns all of the intellectual property rights related to and incorporated within the Services, and certain aspects of the Services are or may be protected or protectable under applicable intellectual property laws and regulations. You agree that all trademarks, trade names, service marks, trade dress, and any HerdAble logos and brand features, and product and service names associated with the Services are the property of HerdAble (the “HerdAble Marks”). You agree not to display or use in any manner the HerdAble Marks, or any other materials offered on or through the Services, without prior written consent from HerdAble. All rights not expressly granted herein are fully reserved by HerdAble.
13. Warranty Disclaimer
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED ”AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ALL WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE. HERDABLE MAKES NO WARRANTY OF ANY KIND THAT THE SERVICES, OR ANY PRODUCTS OR RESULTS OF THE USE THEREOF, WILL MEET ANY USER’S OR ANY OTHER PERSON’S REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, ACHIEVE ANY INTENDED RESULT, BE COMPATIBLE OR WORK WITH ANY SOFTWARE, SYSTEM OR OTHER SERVICES, OR BE SECURE, ACCURATE, COMPLETE, FREE OF HARMFUL CODE, OR ERROR FREE.
14. Limitation of Liability
UNDER NO CIRCUMSTANCES WILL HERDABLE OR ITS AFFILIATES, OPERATORS, OR REPRESENTATIVES, BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, CONSEQUENTIAL, OR INDIRECT DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE SERVICES OR THE APPLICATION, HOWEVER ARISING. SHOULD HERDABLE BE FOUND LIABLE TO YOU UNDER ANY CLAIM OR CAUSE OF ACTION, YOU AGREE THAT IN ANY CASE, THE MAXIMUM AMOUNT OF DAMAGES THAT HERDABLE MAY BE LIABLE FOR ARISING FROM THESE TERMS OR THE USE OF THE SERVICES, OR THE APPLICATION WILL NOT EXCEED THE GREATER OF (i) $100.00 OR (ii) THE TOTAL AMOUNT PAID BY THE USER AND RECEIVED BY HERDABLE DURING THE 12 MONTHS IMMEDIATELY PRECEDING THE CLAIM. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, LIABILITY IN SUCH JURISDICTIONS SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW OF SUCH JURISDICTION.
15. Indemnification
You agree to indemnify and hold HerdAble harmless from claims, losses, and expenses (including reasonable legal fees) arising from Your Content, your use of the Services, your transactions or dealings with other Users, or your violation of these Terms or the law. We reserve the right, at your expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you shall cooperate with us in asserting any available defenses.
16. Changes to These Terms
We may update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them, or if required by law, when we provide notice to you of such changes. Such changes apply thereafter, and by continuing to use the Services after changes take effect you accept the updated Terms.
17. Governing Law and Disputes
These Terms are governed by the laws of the State of Indiana without giving effect to the conflict or choice of law provisions thereof. Any action or proceeding seeking to enforce any provision of, or based upon any right arising out of, these Terms shall be brought in any court of appropriate jurisdiction in Marion County, Indiana.
18. Entire Agreement
These Terms and any terms referenced within these Terms as being incorporated herein, and any other terms you may agree to as you navigate the Application, contain the entire agreement between HerdAble and you as a User of the Services.
Certain features or services offered through the Services may be subject to additional terms and conditions presented to you when you access or use those features or services. By accessing or using any such feature or service, you agree to be bound by those additional terms, which are hereby incorporated into these Terms by reference.
19. Waiver and Severability
No waiver by HerdAble of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of HerdAble to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms will continue in full force and effect.
20. Assignment
You may not assign these Terms; we may assign them to a successor (e.g., in a reorganization or sale).
21. DMCA Notice.
If you believe that any content on the Services infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act (“DMCA”) to our designated agent at legal@herdable.app. Your notice must include: (i) a physical or electronic signature of the copyright owner or authorized agent; (ii) identification of the copyrighted work claimed to be infringed; (iii) identification of the material claimed to be infringing and its location on the Services; (iv) your contact information; (v) a statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (vi) a statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner. We reserve the right to remove any content alleged to be infringing and to terminate the accounts of repeat infringers.
